1. Introduction

Welcome to Pocketfolio (CORPORATE ID: 3-102-938342) ("Pocketfolio," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of the Pocketfolio platform, website, mobile application, and related services (collectively, the "Platform").

By using Pocketfolio, you agree to be bound by these Terms, our Privacy Policy, Risk Disclosure Statement, AML/KYC Policy, and any additional guidelines or policies referenced herein.

If you disagree, do not use our services.

2. About Pocketfolio

Pocketfolio is a digital asset management and automation platform that provides tools for funding rate arbitrage and related trading strategies.

Our services may include:

  • Connecting to user-owned exchange accounts via API;
  • Executing algorithmic arbitrage strategies on connected accounts;
  • Offering an automated strategy for users who deposit digital assets into Pocketfolio-managed wallets.
  • Providing analytics and insights related to funding rates and market opportunities.

Pocketfolio does not provide personalised financial, investment, or tax advice. All strategies are executed automatically based on predefined models.

3. Eligibility

You may only use Pocketfolio if you:

  • Are at least 18 years old;
  • Have full legal capacity to enter into binding agreements;
  • Are not a resident of, or accessing the Platform from, a restricted jurisdiction, including (but not limited to) the United States, North Korea, Iran, Syria, and any other country subject to international sanctions or local prohibitions;
  • Have passed Pocketfolio’s KYC/AML verification process (if required).

4. Account Registration and Security

To access Pocketfolio’s services, you must create an account and provide accurate, complete information.

  • You are responsible for safeguarding your credentials and API keys.
  • Pocketfolio is not responsible for unauthorised access resulting from your failure to maintain account security.
  • You must notify us immediately of any unauthorised access or suspicious activity.

5. Nature of Services and User Acknowledgements

You understand and acknowledge that:

  • Digital assets are inherently volatile and may experience significant value fluctuations.
  • Past performance of strategies does not guarantee future results.
  • Arbitrage opportunities and funding rate differentials can change or disappear rapidly.
  • There is no guarantee of profit or capital preservation.
  • Pocketfolio may use third-party exchanges, APIs, and partners for execution, which carry their own operational and counterparty risks.

Pocketfolio acts as a technology provider and, in some cases, as a custodian of digital assets for automated execution. However, we do not act as a broker, exchange, or licensed financial advisor.

6. Custody and Fund Management

Pocketfolio operates under a hybrid custody model:

  • For API-connected accounts, users maintain complete control over their funds; Pocketfolio only executes trades via authorised API keys (no withdrawal rights).
  • For custodial services, Pocketfolio or its licensed partners hold user assets in secure multi-signature or institutional-grade wallets to facilitate automated arbitrage strategies.

Pocketfolio adheres to best practices in digital asset custody; however, you acknowledge that no system is entirely risk-free.

By depositing assets, you authorise Pocketfolio to execute trades and transfers strictly as part of its automated strategies.

7. Fees and Revenue Sharing

  • Pocketfolio may charge service fees, performance fees, or profit-sharing commissions as disclosed on the Platform.
  • Fees are automatically deducted from user balances or reflected in performance reports.
  • All fees are non-refundable unless otherwise specified in the Refund and Withdrawal Policy.

8. Risk Disclosure

Crypto markets involve significant risk. You acknowledge having read and understood the Risk Disclosure Statement, which forms part of these Terms.

You understand that:

  • Arbitrage and funding rate strategies are speculative in nature.
  • Market dislocations, exchange failures, and liquidity crunches can result in significant losses.
  • You bear full responsibility for your investment decisions.

Pocketfolio is not liable for market losses, system downtime, or unexpected performance outcomes.

9. Restricted Activities

You agree not to:

  • Use Pocketfolio for unlawful or fraudulent purposes;
  • Attempt to reverse engineer, copy, or exploit the software;
  • Circumvent security measures;
  • Use Pocketfolio for money laundering or sanctions evasion.
  • Violate applicable laws, including AML, CFT, or data protection regulations.

10. AML / KYC Compliance

  • Pocketfolio complies with global AML/CFT standards.
  • We may require identity verification, source-of-funds documentation, and ongoing transaction monitoring to ensure compliance with applicable regulations.
  • Failure to complete or maintain KYC may result in account suspension or termination.

11. Intellectual Property

  • All content, algorithms, trademarks, and code within Pocketfolio are owned by or licensed to Pocketfolio (CORPORATE ID: 3-102-938342)
  • Members are granted a limited, non-transferable, revocable license to use the Platform for personal or authorised business purposes.

12. Disclaimers

Pocketfolio provides its services "as is" and "as available."

We make no representations or warranties regarding:

  • Accuracy or reliability of data;
  • Availability of arbitrage opportunities;
  • Continuous, error-free operation.

Pocketfolio disclaims all liability for loss of profits, data, or assets, whether direct or indirect.

13. Limitation of Liability

To the maximum extent permitted by law, Pocketfolio and its officers, employees, and partners shall not be liable for:

  • Any indirect, incidental, or consequential damages;
  • Loss of revenue or data;
  • Failures of exchanges, APIs, or third-party systems.

Pocketfolio's total liability under any claim shall not exceed the total fees paid by you to Pocketfolio in the preceding 12 months.

14. Indemnification

You agree to indemnify and hold harmless Pocketfolio, its affiliates, and partners from any claims, damages, or losses arising from your use of the Platform or breach of these Terms.

15. Termination and Suspension

Pocketfolio reserves the right to suspend or terminate access at any time, including for:

  • Breach of these Terms;
  • Regulatory requirements;
  • Security or risk management reasons.

Members may close their accounts at any time, subject to withdrawal procedures and applicable fees.

16. Governing Law and Dispute Resolution

  • These Terms are governed by the laws of Costa Rica, without regard to the principles of conflicts of law.
  • Any dispute shall first be resolved through good-faith negotiation, and if unresolved, submitted to binding arbitration in San José, Costa Rica, in English.

17. Modifications

  • Pocketfolio reserves the right to update these Terms from time to time.
  • Material changes will be notified via email or platform notice.
  • Continued use of the Platform constitutes acceptance of updated Terms.
